veryuu terms for merchants

veryuu GmbH · version of 22 October 2026

These terms are the agreement between veryuu GmbH and a shop that sells veryuu's digital gift wrappings: on Shopify through the veryuu app, on WooCommerce through the veryuu plugin. A shop accepts them when it connects to veryuu, and on WooCommerce again when it subscribes to veryuu's billing.

1. Who this is between

veryuu GmbH, Prinz-Friedrich-Leopold-Straße 31, 14129 Berlin, Germany. Managing directors Kathrin Bräuer-Niekamp and Gunnar von Reden. Amtsgericht Charlottenburg, HRB 187264 B. Contact: info@veryuu.com.

And the business that runs the shop (the merchant). These terms are for businesses only, in the sense of § 14 BGB. Whoever connects a shop confirms they do so for that business and may bind it.

The merchant's own terms of business do not apply, even where veryuu does not object to them.

2. What veryuu provides

A shopper picks a wrapping for a product in the merchant's cart and pays for it with the order. veryuu then turns the order into a gift: the buyer receives a link, fills the wrapping with their own photo, video or words, and sends it to the recipient, who opens the wrapping before the gift.

For that veryuu provides the app or the plugin, the wrappings and their animations, the gift editor, the gift pages and the emails to the buyer. The plugin's code is free software under the GNU General Public License; these terms govern the service behind it, not the code.

veryuu may add, change or retire wrappings. A wrapping already sold keeps working for the buyer and the recipient.

3. Connecting the shop

The merchant connects the shop from its admin: on Shopify by installing the app, on WooCommerce by pressing Connect this store and approving the API key WooCommerce offers. veryuu uses that access only to do what is described here and in the privacy notice for the app.

Both are linked where the merchant connects: on Shopify on the app's setup page, which opens right after installing; on WooCommerce in the plugin's description and above Subscribe on veryuu's billing screen.

4. The price and what veryuu is paid

The shop sells wrappings on veryuu's behalf, as veryuu's agent. That is why veryuu sets the price shoppers pay for a wrapping in each shop. The merchant does not change it; on WooCommerce a price changed by hand is put back within a minute.

The shopper pays that price to the merchant, together with the order. For every wrapping sold, the merchant owes veryuu a fixed amount. The difference between the shopper's price and that amount is the merchant's commission.

The amount per wrapping is the one shown to the merchant before they agree to pay: on Shopify in the app's plan, on WooCommerce on veryuu's billing screen and in Stripe. veryuu may agree a different amount with a shop, in writing.

The amount is owed for every wrapping sold, also when the order is later refunded or the product returned. The gift has been made by then and its link keeps working.

5. Invoices and payment

On Shopify, veryuu's charges appear on the merchant's Shopify bill and are paid to Shopify under the app's plan. Shopify's own terms apply to that payment.

On WooCommerce, the merchant subscribes through Stripe. Each month Stripe issues an invoice for the wrappings sold in that month and collects it by the payment method the merchant chose. Invoices, the card or account on file and cancellation are in the billing screen of the plugin.

Invoices carry VAT where the law requires it. If a payment fails, Stripe tries again for some days. If it still fails, veryuu stops offering wrappings in that shop until the invoice is paid. Gifts already sold are not affected.

6. Changes to the amount

veryuu tells the merchant by email at least 30 days before the amount per wrapping goes up. The merchant may stop selling wrappings before the new amount applies. A lower amount may apply straight away. Wrappings sold before a change are charged at the amount that applied when they were sold.

7. What the merchant does

  • keeps the shopper's price as veryuu sets it;
  • does not take wrappings without paying for them, for example by changing cart lines or orders to look like a sale that did not happen;
  • passes the buyer's real email address with the order, since that is where the gift link goes;
  • tells shoppers about veryuu where the app or plugin shows it, and does not remove veryuu's name from it;
  • remains responsible for its own shop, its products, its orders and its dealings with its shoppers.

8. Availability

veryuu runs the service with care and fixes faults as quickly as it reasonably can. It does not promise that the service is never interrupted: maintenance, the shop platforms and other providers can stop it for a while. Where veryuu can see maintenance coming, it plans it for quiet hours.

9. Names, wrappings and content

The wrappings, their animations, the gift pages and the name and marks of veryuu belong to veryuu or its licensors. For as long as these terms run, the merchant may show them in its shop and use veryuu's name to promote wrappings. Nothing else is licensed.

What a buyer writes or uploads into a gift is the buyer's.

10. Personal data

veryuu processes the shoppers' data on the merchant's behalf, as described in the privacy notice for the app. The merchant is the controller and veryuu the processor.

The agreement under Art. 28 GDPR between them consists of the European Commission's standard contractual clauses between controllers and processors (Implementing Decision (EU) 2021/915), which the merchant and veryuu agree to by accepting these terms. Their annexes are filled in as follows:

  • Annex I, the parties: section 1 of these terms;
  • Annex II, the processing: sections 2 to 5 of the privacy notice;
  • Annex III, the technical and organisational measures: section 7 of the privacy notice;
  • Annex IV, the processors veryuu uses: section 6 of the privacy notice.

veryuu tells the merchant by email at least 14 days before it adds or replaces a processor. A merchant who objects may end the agreement before the change takes effect. Where these terms and the clauses differ on personal data, the clauses apply.

11. Liability

veryuu is liable without limit for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where it has given a guarantee.

For slight negligence, veryuu is liable only where it breaches an obligation whose fulfilment makes the agreement possible in the first place and on which the merchant may rely (a cardinal obligation), and then only for the damage typical for this kind of agreement and foreseeable when it was made.

Otherwise veryuu's liability is excluded. The same applies to veryuu's staff and agents.

12. Ending

The merchant may stop at any time: on Shopify by uninstalling the app, on WooCommerce by cancelling the subscription in the billing screen and removing the plugin. veryuu may end the agreement with 30 days' notice by email, and without notice for good cause, such as wrappings taken without payment.

Amounts for wrappings sold until then remain owed. Gifts already made keep working for their buyers and recipients for as long as the privacy notice says they are kept.

13. Changes to these terms

veryuu tells the merchant about changes to these terms by email at least 30 days before they take effect. A merchant who does not agree may end the agreement before then; one who keeps selling wrappings after that date accepts the changed terms. The email says so.

14. Law and courts

German law applies, without the UN Convention on Contracts for the International Sale of Goods. Courts in Berlin have jurisdiction where the merchant is a merchant in the sense of the HGB, a legal person under public law or has no general place of jurisdiction in Germany.

If one provision is invalid, the rest stay in force.
